CSKY Hospitex Hotel ERP System

Effective Date: November 1, 2025

Please read these Terms and Conditions carefully before using CSKY Hospitex. These terms govern your access to and use of our Hotel ERP System. By using the system, you acknowledge that you have read, understood, and agree to be bound by these terms.

By accessing and using CSKY Hospitex Hotel ERP System ("the System"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please discontinue use of the System immediately. These terms apply to all users including hotel administrators, staff members, and any third parties granted access to the System.

CSKY Hospitex provides a comprehensive Hotel Enterprise Resource Planning (ERP) system that includes: • Front Office and Reception Management • Room Reservation and Booking Engine • Restaurant and F&B Point of Sale (POS) • Billing and Payment Management • Housekeeping Management • Maintenance and Engineering Dashboard • Guest Relationship Management (CRM) • Mobile Guest Applications • Analytics and Reporting Tools The System is designed for hotels and hospitality businesses operating primarily in African markets, with support for multi-currency, mobile money integration, and offline functionality.

3.1 Account Creation You are responsible for maintaining the confidentiality of your account credentials. Each user must have their own unique login credentials. 3.2 Account Security • You must notify CSKY Telecom immediately of any unauthorized access • You are responsible for all activities under your account • Password sharing is strictly prohibited • Multi-factor authentication should be enabled where available 3.3 Access Levels Different user roles have different access permissions. Administrators are responsible for managing user permissions appropriately.

You agree NOT to: • Use the System for any illegal purposes • Attempt to gain unauthorized access to any part of the System • Interfere with or disrupt the System's operation • Upload malicious code, viruses, or harmful content • Reverse engineer, decompile, or disassemble the System • Use the System to spam, harass, or harm others • Share your login credentials with unauthorized parties • Extract or scrape data for unauthorized purposes • Overload the System with excessive requests

5.1 Subscription Fees Use of CSKY Hospitex requires a valid subscription. Fees are based on: • Number of rooms/properties • Number of users • Selected modules and features • Subscription period (monthly/annual) 5.2 Payment Methods We accept: • Credit/Debit cards • Bank transfers • Mobile money (M-Pesa, MTN Mobile Money, Orange Money) 5.3 Billing Cycle • Subscriptions are billed in advance • Renewal occurs automatically unless canceled • Failed payments may result in service suspension • Refunds are handled according to our refund policy 5.4 Price Changes CSKY Telecom reserves the right to modify pricing with 30 days' advance notice.

6.1 Your Data You retain all ownership rights to your data entered into the System. CSKY Hospitex acts as a data processor. 6.2 Data Backup • We perform regular automated backups • You are responsible for maintaining your own backup copies • Data retention periods are specified in your subscription plan 6.3 Data Portability Upon request, we will provide your data in a standard format for migration purposes.

7.1 Uptime Guarantee We strive for 99.5% uptime, excluding scheduled maintenance. 7.2 Maintenance Windows Scheduled maintenance will be announced at least 48 hours in advance. 7.3 Support Services • Email support: Monday-Friday, 8 AM - 6 PM (local time) • Emergency support available for critical issues • Response times vary by subscription tier 7.4 Offline Mode The System includes offline functionality that syncs when connectivity is restored.

8.1 Service Disclaimer The System is provided "as is" without warranties of any kind, either express or implied. 8.2 Limitation of Damages CSKY Telecom's total liability shall not exceed the amount paid by you in the 12 months preceding the claim. 8.3 Exclusions We are not liable for: • Data loss due to user error • Third-party service failures • Force majeure events • Losses due to unauthorized access resulting from user negligence • Business losses, lost profits, or consequential damages

9.1 System Ownership All rights, title, and interest in CSKY Hospitex, including source code, design, and documentation, remain the exclusive property of CSKY Telecom. 9.2 License Grant We grant you a limited, non-exclusive, non-transferable license to use the System according to your subscription terms. 9.3 Trademarks CSKY, CSKY Hospitex, and CSKY Telecom logos are trademarks of CSKY Telecom and may not be used without permission.

10.1 Termination by You You may terminate your subscription at any time with 30 days' notice. 10.2 Termination by Us We may terminate your access if you: • Violate these Terms and Conditions • Fail to pay subscription fees • Engage in fraudulent activity • Pose a security risk to the System 10.3 Effects of Termination • Access to the System will be revoked • Data export must be requested before termination • No refunds for partial subscription periods unless otherwise specified

11.1 Local Regulations You are responsible for ensuring your use of the System complies with local laws, including: • Data protection regulations • Tax reporting requirements • Tourism levies and local compliance • Labor laws 11.2 Export Controls The System may not be exported or re-exported to certain countries or entities subject to trade restrictions. 11.3 Governing Law These Terms are governed by the laws of Cameroon. Disputes shall be resolved through arbitration in Yaoundé.

CSKY Telecom reserves the right to modify these Terms and Conditions at any time. Users will be notified of significant changes via email and in-app notifications. Continued use of the System after changes constitutes acceptance of the new terms. Last Updated: November 1, 2025
